JelsmaThe new California Revised Uniform Limited Liability Company Act, which took impact on January 1, 2014, introduced the concept of member dissociation, which was not found in the prior Beverly-Killea Limited Liability Company Act. Previously, if a member died or was adjudged incompetent, the member’s executor, administrator, guardian, conservator, or different legal representatives may train the entire member’s rights for functions of settling the property or administering the member’s property. This included any power that the member had underneath the articles of organization or operating agreement to give the assignee the proper to become a member. The New LLC Act offers that a member has the facility to dissociate at any time both rightfully or wrongfully by specific will of the dissociating member. In addition to describing what is going to set off a dissociation, the New LLC Act also provides for what happens following dissociation.
